Shareholder Appraisal Rights
Reid Collins is a leader in prosecuting shareholder appraisal claims on behalf of investors. When stockholders are squeezed out at unfair prices, we fight for what they are owed. Our attorneys have successfully tried appraisal cases in the Delaware Court of Chancery, secured a 142% premium over merger price in the Cayman Islands, and won multi-million-dollar settlements for clients across jurisdictions.
We represent hedge funds, mutual funds, family offices, and other sophisticated investors in appraisal proceedings across Delaware, the Cayman Islands, and Bermuda. Our attorneys pair deep trial experience with a command of business valuation, financial modeling, and expert testimony—navigating the intricate standards governing fair-value determinations with the creativity and tenacity that define our firm.
Because appraisal disputes frequently span overlapping U.S. and offshore legal regimes, we deploy an integrated cross-border approach. And we leverage strong relationships with leading practitioners in major offshore jurisdictions to coordinate strategy and maximize recovery.
Our experience spans industries including online products and services, entertainment, natural resources, human resources, restaurant and food services, emergency and hospital services, and real estate.
Offshore Appraisal
We served as U.S. counsel to dissenters in In the Matter of Sina Corporation, a Cayman Islands appraisal that resulted in a post-trial judgment awarding dissenters a 142% premium over the merger price plus interest.
As U.S. counsel in numerous other offshore appraisal actions, we have secured multiple confidential, multi-million-dollar settlements involving Cayman corporations based in China—delivering substantial premiums over merger prices for our clients.
Delaware Appraisal
Our attorneys have tried numerous cases in the Delaware Court of Chancery, including In re Appraisal of Solera Holdings, Inc. and In re Appraisal of Stillwater Mining Co. We have also served as dissenter counsel against Air Methods, TeamHealth, Regal Entertainment, and Bob Evans.
Presently, we serve as counsel in a broad range of offshore and Delaware appraisal actions. In the Cayman Islands and Bermuda, we represent dissenters in actions concerning the fair value of offshore-incorporated, China-based companies. In Delaware, we represent dissenters in In re Appraisal of Endeavor Group Holdings, Inc.—the largest appraisal action ever filed.
When investors are forced out at prices that don’t reflect fair value, we fight to recover what they’re rightly owed.
